Donald V. Calvo

Donald Calvo is a partner in the firm's Guam office. He concentrates his practice on business, banking and real estate law, with an emphasis in assisting business entities, financial institutions and lenders, both domestic and foreign, in addressing all facets of statutory and regulatory compliance for Guam. Mr. Calvo's practice also includes a focus on advising lenders, financial institutions and business entities in connection with the structuring, negotiation and documentation of real estate and project based financing, as well as real estate and business acquisition. Mr. Calvo also actively practices in the area of energy project development and operations.

Representative Matters

General Corporate Advice Provides a full gamut of corporate advice for both public and private, profit and non-profit companies, generally addressing local regulatory compliance and licensing matters, merger and acquisition issues and local tax matters. Also routinely provides advice for his clients in connection with the preparation and structuring of corporate documentation including, but not limited to, articles of incorporation, bylaws, partnership agreements and limited liability company articles of organization and operating agreements. His clients in this area include energy providers, lenders, wholesalers, retailers, franchisors and service providers.

Banking and Finance Assists clients in the banking and finance area, particularly with regard to loan and financing structuring, for both real estate and project based transactions, loan workouts, debt restructuring and other finance-related and UCC issues and concerns. His work in this area includes the negotiation, review and preparation of all phases of loan documentation on behalf of both lenders and borrowers. His practice in this area also includes representing secured creditors in numerous bankruptcy proceedings from Chapter 7 and 13 individual debtor cases to Chapter 11 major corporate reorganization cases.

Purchase and Sale of Businesses and Real Property Assists clients in connection with the purchase and sale of ongoing businesses and business interests. and commercial and residential properties in Guam. Projects that he has recently been involved in include both stock/partnership transactions and asset transactions for hotel and resort operators and properties. His work in this area includes due diligence review, negotiating business points and deal points, drafting acquisition documents and helping clients with post-closing and operational issues.

Energy Advised clients engaged in the energy industry, particularly in the energy project development and operation arenas. He has formerly represented the Consolidated Commission on Utilities for the territory of Guam, the quasi-governmental body overseeing the operations of the Guam Power Authority, in all operational aspects including assisting the structuring of financing arrangements. He has also represented independent power providers in connection with public and private partnerships with the Guam Power Authority in the form of energy conversion arrangements, and currently represents private energy companies engaged in co-generation ventures.
