Carlos Abou Jaoude

Carlos Abou Jaoude is the founder and managing partner of Abou Jaoude & Associates Law Firm and heads its Banking & Finance practice group. Throughout his career, Carlos has rendered strategic advice to major retail and investment banks, financial institutions and brokerage firms on the management of their diverse operations and the raising of capital. In addition to representing local and foreign banks on matters of corporate governance and regulatory compliance, he has strong knowledge of the expansion of a bank’s network through synergies between its commercial and investment banking activities and considerable experience advising on a wide range of domestic and international extensions of credit, such as secured and syndicated multicurrency facilities. His expertise is particularly sought after in structured finance and he combines his legal capabilities and sophisticated business perspective with a creative and multidisciplinary approach to handle the structuring and documentation of complex financing transactions involving a broad range of traditional and newer asset classes. Carlos’ recent representative work in the Banking & Finance field includes: - Advising a Lebanese commercial bank in the multi-million acquisition of a listed European bank; - Representing a commercial bank in connection with a multi-million dollar issuance of preferred shares and the private placement thereof; - Advising on the first of its kind conversion of a financial company into an investment bank under Lebanese Law; - Representing an investment bank in the acquisition of a real estate company through the issuance of hybrid financial instruments; and - Advising on a multi-business family debt restructuring, the biggest in Lebanon’s recent history, involving a large real estate portfolio. He is admitted to the Beirut Bar Association and has experience working in Paris and London. He holds a Master in French and Lebanese Law and is fluent in Arabic, French and English.
