Lawrence Guo

Lawrence Guo is a Chinese international lawyer with more than 15 years of private practice experience in China. His specialization includes mergers and acquisitions, joint ventures, foreign direct investment, private equity, securities offerings, corporate and antitrust. Lawrence is admitted to practice law in China and New York State. He is based in Beijing and Shanghai.

Mr. Guo has represented numerous multinational and Chinese corporations in M&A transactions, joint ventures, and cross-border investment in China. Some of his recent clients and transactions are:

• A Chinese sovereign investment private equity fund on its acquisition of a stake of a manufacturing listed company in Egypt;

•A world-leading U.S. enterprise data management systems provider on its formation of a Sino-foreign joint venture engaged in mobile commerce and enterprise mobility in China, and the new JV acquiring ongoing operating assets and business from the Chinese partner;

•A Taiwan online game operator on its proposed acquisition of equity capital of a private game creation company in Shanghai;

•A U.S. chemical manufacturer on its proposed sale of a chemical manufacturing subsidiary in China;

•A leading animation industry company in its B-round financing of USD 15 million from several foreign private equity funds;

•A Chinese private company on its subscription for new shares issued by an Australian listed company.

Mr. Guo is a Chinese native and speaks and works in fluent English. He holds Master of Law degree from China University of Political Science & Law (Beijing), and LL.M. from Northwestern University (Chicago).

Prior to joining Jade & Fountain in 2010, Mr. Guo had practiced law for more than 10 years in the China practice groups of two international law firms followed by two years as a partner in a Chinese law firm. He also served office in the Chinese central government at the start of his career.
